Consulting Terms and Conditions

1. Scope of Services

Karmel Graham Consulting agrees to provide strategic product management and product marketing consulting services as outlined in the mutually agreed-upon contract or statement of work (“SOW”).

2. Payment Terms

• Remittance:     All payments shall be made directly to Karmel Graham Consulting.
• Payment      Schedule:
  • Initial       Payment: 60% of the total contract value is due upon execution of the       agreement.
  • Final       Payment: The remaining 40% is due upon completion of the contracted       services.
• Late      Payments: Payments not received within 10 business days of the due      date may incur a late fee of 5% of the outstanding balance per month.

3. Term and Termination

This agreement shall remain in effect until the completion of services unless terminated earlier by either party with written notice. In the event of termination, the Client shall remit payment for all work completed up to the termination date.

4. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This includes, but is not limited to, business strategies, product data, and internal documentation.

5. Intellectual Property

All deliverables created by Karmel Graham Consulting during the engagement shall remain the property of the Client upon full payment. Consultant retains the right to reference anonymized work for portfolio or promotional purposes unless otherwise agreed.

6. Limitation of Liability

Karmel Graham Consulting shall not be liable for any indirect, incidental, or consequential damages arising from the services provided. Liability is limited to the total amount paid under this agreement.

7. Governing Law

This agreement shall be governed by and construed in accordance with the laws of the State of California.
